 We would like to inform you that in compliance of the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Company''s "Code of Internal Procedures and Conduct for Regulating, Monitoring and Reporting of Trading in Securities by Designated Persons" ("Insider Trading Code"), the Trading Window for dealing in the securities of the Company for all the Designated Persons including Insiders, as per the Insider Trading Code, shall remain closed with effect from March 31, 2022, for the purpose of consideration of the Audited Financial Results, both standalone and consolidated, for the 4th quarter and financial year ending March 31, 2022, till 48 hours after the announcement of the aforesaid Financial Results. HFCL Ltd - 500183 - Non-Disposal Undertaking Over Shareholding Of Certain Promoters Of HFCL Limited ("HFCL")

 Pursuant to the terms and conditions of sanction letters and financing documents pertaining to the Facilities availed by the Company, certain promoters of the Company have issued a NDU in favour of the lenders of the Company, with respect to 24,15,48, 750 equity shares, being 44.72% of the total Promoters'' shareholding and 17.55% of the total paidup equity shares capital of the Company, pursuant to which they shall not pledge or dilute or dispose-off or create any security interest or charge or encumbrance or transfer such number of shares held by them in the Company. It is further reiterated that none of the promoters'' shareholding is encumbered for any personal borrowing of any of the promoters of the Company and this is an undertaking by the promoters to continue to retain their current shareholding in the Company, for the comfort of the lenders of the Company. We reiterate that no equity share held by any of the Promoters in HFCL is pledged as on date of this announcement.
