 This is in continuation of our earlier letter dated March 16, 2023 wherein the Company had fixed the record date as April 08, 2023 for the purpose of issuing Equity Shares of GHCL Textiles Limited ('GTL' or 'Resulting Company') to the shareholders of GHCL Limited ('GHCL' or 'Company' or 'Demerged Company'), based on the share exchange ratios as mentioned in the Scheme of Arrangement (''Scheme''). This is to inform you that GHCL Textiles Limited have informed the Company vide letter dated 13th April 2023 (enclosed herewith marked as Annexure A) that the Board of Directors of GHCL Textiles Limited in its meeting held yesterday i.e. April 12, 2023: (a) has allotted 9,55,85,786 equity shares of INR 2/- (Rupees Two only) each fully paid-up in accordance with Clause 5 of the Scheme, to the eligible equity shareholders of GHCL Limited.
