The Board of Directors inter alia has transacted the following businesses: 1. considered to formulate a Scheme of Arrangement ('Scheme') between Career Point Limited and its wholly-owned subsidiaries, namely, Career Point Edutech Limited, Gyan Eduventure Private Limited, Career Point Infra Limited and Srajan Capital Limited. 2. appointed Registered Valuer for undertaking the valuation exercise to determine the share exchange ratio for the proposed scheme. 3. appointed Dhruva Advisors LLP as advisors to the proposed Scheme . 4. considered and approved the change in the objects clause of the Company and the consequent alteration of the MOA by way of Postal Ballot through e-voting. The Board of Directors shall take necessary steps and will notify adequately.15-05-2021
