 This is to bring to your attention that up to 30,00,000 equity shares of the Company held by Mr. Zakir Vali, a public shareholder of the Company, are proposed to be sold through one or more permitted means, in one or more tranches, including through block deal(s), bulk deal(s) offer for sale or any other permitted mechanism, in the coming months. These equity shares are currently placed under escrow and the Company may issue notice to the escrow agent for release of the equity shares upon finalisation of the proposed transaction(s). Upon conclusion of the transactions, the escrow arrangement shall stand automatically terminated. Proceeds from the sale of the equity shares will be utilised to meet the shortfall from recoveries of covered trade receivables owed by third parties. We undertake to provide further information regarding the transaction(s), upon completion of such transactions in accordance with applicable law.
