 In continuation of our letter dated May 20, 2022 and pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the Company has completed the transfer of its entire equity shareholding in Forbes Facility Services Private Limited (FFSPL), a wholly owned subsidiary of the Company, to SILA Solutions Private Limited (SILA) and pursuant to Share Purchase Agreement dated May 20, 2022 (SPA) has received the closing date sale consideration of Rs. 39.60 crores. The post-closing sale consideration of Rs. 2.40 crores would be received by the Company from SILA on realization of certain receivables by FFSPL as per the terms of the SPA.
