 Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations) and further to our letter Ref. No.CO:CS:RC:2023-24:266 dated January 16, 2024, this is to inform you that on recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Bank at its meeting held today i.e. on March 21,2024, has approved the appointment of Mr. Praveen Achuthan Kutty (DIN: 10329590) as an Additional Director with effect from April 29, 2024 till the ensuing Annual General Meeting of the Bank or till the date of obtaining shareholders' approval whichever is earlier. He is also appointed as the Managing Director & CEO (MD & CEO) of the Bank for a period of three (3) years with effect from April 29, 2024 to April 28, 2027 (both days inclusive) on such remuneration as approved by RBI, subject to the shareholders' approval.

DCB Bank Limited - 532772 - Intimation Under Regulation 30 Of The SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015 ('SEBI Listing Regulations')

 Pursuant to Regulation 30 and other applicable provisions of SEBI Listing Regulations, this is to inform you that the Reserve Bank of India (RBI) has, vide its letter dated March 19, 2024, imposed a monetary penalty of Rs. 63.60 lakh (Rupees Sixty three lakh sixty thousand only) on the Bank for non-compliance with certain directions issued by RBI on 'Interest Rate on Advances'- i) Failing to reset interest rate in MCLR linked loan ii) Benchmarking retail and MSME advances to MCLR instead of EBLR. This penalty has been imposed in exercise of powers vested in RBI conferred under the provisions of section 47 A (1) (c) read with sections 46 (4) (i) of the Banking Regulation Act, 1949. Information as required under Regulation 30 of the SEBI Listing Regulations read with Schedule III and the SEBI Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated July 13, 2023, is enclosed as Annexure A.
