We wish to inform you that the Board of Directors of Clariant Chemicals (India) Limited at their meeting held on December 19, 2019, inter alia, unanimously approved the sale of Masterbatch Business to PolyOne Polymers India Private Limited or its affiliate in India, on a going concern basis by way of slump sale, subject to the approval of the shareholders by way of Special Resolution through Postal Ballot and all other applicable statutory approvals. The notice of Postal Ballot will be sent to the shareholders, for their approval, in accordance with the provisions of Section 110 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014. The said transfer is subject to necessary approvals, as may be required, from the global regulatory authority.
