 Dear Sir/Madam, This is with reference to our letter dated August 08, 2019, informing you about decision of the Board of Directors of Godrej Properties Limited approving the Scheme of Amalgamation of Wonder Space Properties Private Limited ('WSPPL' or 'the Transferor Company') WITH Godrej Properties Limited ('GPL' or 'the Transferee Company') & respective Shareholders. pursuant to Section230 to Section 232 of the Companies Act,2013 & applicable provisions of the Companies Act,2013, subject to receipt of applicable regulatory & other approvals. We are pleased to inform you that final hearing for Scheme was conducted by the Hon'ble National Company Law Tribunal, Mumbai Bench ('Hon'ble NCLT') via video-conferencing on September 14, 2020. An Interim order is made available on September 17, 2020 on website of the Hon'ble NCLT stating that the petition is allowed. Interim order as uploaded on their website is attached herewith for record. The detailed order of the Hon'ble NCLT is awaited.
