Dear Sir/Madam, we wish to inform you that pursuant to the approval of the Board of Directors of D B Realty Limited at their board meeting held earlier today, i.e. February 03, 2022, and the approval of the Board of Directors of Godrej Properties Limited at its board meeting held earlier today, (and subject to such other approvals, execution of definitive documentation and completion of other conditions precedent), Godrej Properties Limited is proposing to (i) subscribe to such number of warrants issued by D B Realty Limited which will be convertible into such number of Equity Shares aggregating approximately 10% of the issued and paid up capital of D B Realty Limited for an aggregate amount of approximately Rs 400 crore; and (ii) set up a special purpose vehicle as a joint venture with D B Realty Limited to jointly undertake slum rehabilitation and MHADA redevelopments projects, by leveraging the respective core expertise of the parties.

Q3FY22 Quarterly Result Announced for Godrej Properties Ltd.

Realty firm Godrej Properties declares Q3FY22 result: Net Profit grew by 171% YoY to INR 39 crore for Q3 FY22 Total booking value stood at INR 1,541 crore (4% YoY growth) and INR 4,613 crore (13% YoY growth) for Q3 FY22 and 9M FY22, respectively Added 3 new projects with a saleable area of ~2.4 million sq. ft. Construction worker strength stood at 143% of pre-Covid levels Total Income grew by 30% YoY to INR 399 crore as compared to INR 306 crore EBITDA grew by 42% YoY to INR 115 crore as compared to INR 81 crore Net profit grew by 171% to INR 39 crore as compared to INR 14 crore EPS amounted to INR 1.40 as compared to INR 0.57 Commenting on the performance of Q3 FY2022, Mr. Pirojsha Godrej, Executive Chairman, Godrej Properties Limited, said: “It is encouraging to see that the real estate sector in India has continued to strengthen despite the challenges of the third wave. Ltd. ('GBTC'), Yerwada Developers Private Limited ('YDPL') and Godrej Investment Advisers Private Limited ('GIAPL') for subscription of securities in YDPL. Pursuant to the SPSSSOA, the stake held by the Company in YDPL is diluted to 20% and consequently YDPL has ceased to be a wholly owned subsidiary of the Company with effect from January 31, 2022.
