 In continuation of our earlier intimation dated February 11, 2020 on the captioned subject, we would like to inform the exchanges that Indo Count Industries Limited ('the Company') has executed Business Transfer Agreement (BTA) on March 30, 2020, with Indo Count Retail Ventures Pvt Ltd (ICRVPL), wholly owned subsidiary of the Company for the acquisition of business of ICRVPL w.e.f 1st April, 2020.

 Pursuant to the provisions of Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015 and 'Code of Conduct to Regulate, Monitor and Report Trading by Designated Persons and their immediate relatives' of Indo Count Industries Limited (the 'Company'), the trading window for dealing in the securities of the Company will remain closed for designated persons and their immediate relatives from April 1, 2020 till 48 hours after the date of Board Meeting wherein, inter-alia, the approval of Audited Financial Results for the quarter and financial year ending on March 31, 2020, would be considered by the Board. INDO COUNT INDUSTRIES LTD. - 521016 - Temporary Closure Of Manufacturing Facilities Of Company At Kolhapur As Per Government Directions To Contain The Spread Of COVID-19

 In continuation of our earlier intimation dated March 23, 2020 regarding temporary closure of Company's manufacturing units at Kolhapur from March 23, 2020 till March 31, 2020 pursuant to the order of District Magistrate, Kolhapur to contain the spread of COVID-19, we would like to inform the exchanges that the temporary closure of manufacturing units of the Company at Kolhapur shall continue till April 14, 2020 as per the Directions of Central/State Government. The manufacturing operations are expected to resume on or after April 15, 2020 depending on the direction of Govt. of India and Kolhapur District Magistrate/Administration. In this evolving situation, any impact of said temporary closure is not immediately assessable. We shall submit further updates, if any, in the matter in due course. You are requested to kindly take note of the same.

 We would like to inform the exchanges that in order to contain the spread of escalating Novel Coronavirus (COVID-19) pandemic, the District Magistrate, Kolhapur vide its order dated March 22, 2020, has advised the industrial undertakings in the District of Kolhapur to temporarily close the industrial operations from March 23, 2020 till March 31, 2020. Putting the safety and wellbeing of its employees as its top priority, in view of escalating COVID-19 situation, Indo Count Industries Limited ('the Company') has been taking all recommended actions and following all government directions to contain the spread of COVID-19. As a next step, in order to comply with the aforesaid order of Collector, the management of the Company has decided to temporarily close down its manufacturing units at Kolhapur from March 23, 2020 till March 31, 2020. The factory employees are advised to stay at home and co-operate with the company management and government to contain the spread of COVID-19.
