Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we wish to inform you that Company has appointed Mr. Jignesh Thobhani (DIN-07702512) as Managing Director w.e.f December 28, 2022, pursuant to acquisition of 96,03,396, representing 72.73% of the equity share capital of the Company in term of Share Purchase Agreement dated August 24, 2022. Further the Company has appointed Ms. Himani Bhootra (DIN- 09811030) as NonExecutive Independent (Additional) Director w.e.f December 28, 2022 subject to shareholders approval of the Company. Brief Profile of Mr. Jignesh Thobhani and Ms. Himani Bhootra in terms of SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015 is given in Annexure A.

Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we wish to inform you that Mr. Kishor Danabhai Patel (Managing Director), Ms. Nisha Bhogin Patel (Non-Executive Directors) and Mr. Bhogin Patel Danabhai (Non-Executive Directors) of the Company, has tendered their resignation from the services of the Company w.e.f December 28, 2022, pursuant to disposal of 96,03,396, representing 72.73% of the equity share capital of the Company in term of Share Purchase Agreement dated August 24, 2022. We wish to inform you that the Company has received their resignation letter today i.e. December 28, 2022 and the matter for succession was placed at the Board meeting held on December 28, 2022.
