 This is to inform you that subsidiaries of Ashoka Buildcon Ltd, : Ashoka Concessions Ltd & Viva Highways Ltd , have entered into a share purchase agmt. with National Investment & Infrastructure Fund Ltd & Jaora Nayagaon Toll Road Co. Pvt Ltd for sale of 287000000 equity shares in JTCL, constituting 100% of share capital of JTCL, from ACL & VHL to NIIF d settlement of certain assets for a consideration of Rs. 691,00,00,000/- (Rupees Six Hundred and Ninety One Crores only) subject to certain adjustments, as agreed under the SPA.! The current shareholding of ACL and VHL is 37.74% and 10.26% respectively and the completion of the above transaction is subject to: (i) ACL and/ or VHL acquiring balance equity shares in JTCL held by Macquarie SBI Infrastructure Investments Pte Ltd, SBI Macquarie Infrastructure Trust and other shareholders of JTCL; and (ii) completion of certain conditions precedent including approval of lenders of JTCL and the Madhya Pradesh Road Development Corpn. Ltd.

'Request for proposal for Construction of 6 lane Elevated Corridor along with development of existing 4 lane road at ground level from Aroor to Thuravoor Thekku section of NH - 66 (from Km. 366+330 to Km. 379+082 of NH-66) (Length 12.752 Km) under Bharatmala Pariyojana in the State of Kerala on EPC mode ('Project'). The Company has received Letter of Acceptance from NHAI. The accepted Bid Project Cost for the Project is Rs.1,668.50 Crore. This announcement is made pursuant to the Regulation 30 of SEBI (LODR) 2015.

The construction period of the Project is 912 days from an Appointed Date and operation period is 15 years from COD. Ashoka Baswantpur Singnodi Road Private Limited, is a wholly owned subsidiary of the Company, which executes the Project viz. Development of 6 lane Access Controlled Greenfield highway from KM 162.500 to KM 203.100, Baswantpur to Singondi Section of NH 150 C (Package 4 of Akkalkot KNT of TS Border) on Hybrid Annuity Mode (HAM) under Bharatmala Pariyojana'.
