 Dear Sir/ Madam, This is further to our letter dated 10th February, 2022 wherein the Company had intimated your good office regarding the Notice of Postal Ballot dated 02nd February, 2022 issued to the Members of the Company for seeking approval for the items stated in the said Notice, through Postal Ballot. In furtherance of the same, we enclose herewith voting results of the Postal Ballot on the aforesaid Resolutions. The Resolutions of the said postal ballot as mentioned in the Notice dated 02nd February 2022, have been passed with requisite majority on 15th March, 2022. M/s R & D Company Secretaries, a Practicing Company Secretaries Firm, who was appointed as Scrutinizer for the aforesaid Postal Ballot process has submitted their report dated 16th March, 2022. DHANUKA AGRITECH LTD. - 507717 - Communication To Shareholders - Intimation On Tax Deduction On Interim Dividend Paid To Shareholders.

 We are pleased to inform you that the Board of Directors at their Meeting held on February 2, 2022 have approved 400% Interim Dividend i.e. Rs. 8/- per Equity Share for the Financial Year 21-22, to the Shareholders of the Company for each Equity Share having Face Value of Rs. 2/- each on the Paid-up Equity Share Capital of the Company absorbing Rs. 37,26,26,592/- (Rupees Thirty Seven Crores Twenty Six Lakhs Twenty Six Thousands Five Hundred Ninety Two Only). As you are aware, the Income Tax Act, 1961 ('the IT Act'), as amended by the Finance Act, 2020, mandates that dividend paid or distributed by the Company after April 1, 2020 shall be taxable in the hands of the Shareholders. The Company shall therefore be required to deduct tax at source at the time of making payment of the Interim Dividend for the F.Y 21-22 to the Members of the Company.
