 Further to our letters dated 11.8.2020 and 17.9.2020 in respect of the Scheme of Arrangement and Amalgamation of the wholly-owned subsidiaries of the Company viz., Belaire Hotels Pvt Ltd and Seapearl Hotels Pvt Ltd with the Company ('Scheme'), the Hon'ble National Company Law Tribunal, Mumbai Bench ('Hon'ble NCLT') has vide its Order dated May 19, 2023 accorded its approval for the said amalgamation. The Order of the Hon'ble NCLT has been uploaded and is available on the website of Hon'ble NCLT at: https://nclt.gov.in/gen_pdf.php?filepath=/Efile_Document/ncltdoc/casedoc/2709138041912021/04/Order-Challenge/04_order-Challange_004_168449617914753603164675f3373c48.pdf. The same shall also be uploaded on the website of the Company at www.chalethotels.com/amalgamation. The Appointed Date of the Scheme is April 1, 2020 and the Scheme will be effective upon last of the dates on which certified copy of the Order of Hon'ble NCLT is filed with the Registrar of Companies, Mumbai.
