Agi Greenpac Ltd - 500187 - Clarification On Queries Raised Vide Email Dated 2Nd November, 2022
The Company had on 27th September, 2022 filed an application with Competition Commission of India (the 'CCI') in relation to the potential acquisition by the Company of Hindusthan National Glass & Industries Limited ('HNGIL') through a resolution plan presented by the Company under the Insolvency and Bankruptcy Code, 2016 ('IBC'). This application was pursuant to Regulation 5 of the Combination Regulations of the CCI read with section 31(4) of the IBC. The CCI had on 17th October, 2022 asked the Company to file additional information in fresh notice in Form II and the notation on the website of CCI is a reflection of the same. Incidentally the notation was made and was visible on the website much before 1st November, 2022. The Company has already informed about the acceptance of letter of intent related to the approval by the committee of creditors of the Company's resolution plan for HNGIL and declaration of AGI Greenpac as a successful resolution applicant on 31st October, 2022.03-11-2022

Dear Sir/Ma'am, Pursuant to the submission of the resolution plan by AGI Greenpac Limited ('AGI') for acquiring Hindusthan National Glass & Industries Limited ('Corporate Debtor') in the Corporate Insolvency Resolution Process ('CIRP') of the Corporate Debtor under the Insolvency and Bankruptcy Code, 2016, the resolution professional of the Corporate Debtor has issued a letter of intent to AGI confirming that the committee of creditors of the Corporate Debtor has approved the said resolution plan and has declared AGI as the successful resolution applicant. The Board of Directors of AGI in their meeting held on 31st October 2022 has taken note of the same and consequent to the meeting AGI has communicated its acceptance to the letter of intent. The implementation of the resolution plan is subject to obtaining necessary regulatory approvals from the concerned statutory authorities.31-10-2022
