 This is in continuation of our earlier intimation dated November 10, 2022 regarding the captioned subject matter. We are pleased to inform that the Company has invested a sum of Rs.15,30,00,000 (Fifteen Crores Thirty Lakhs) to acquire 1,53,00,000 (One Crore Fifty Three Lakhs) Equity Shares offered and issued by MKESPL on Rights basis. MKESPL has completed allotment of Equity shares on December 17, 2022. The Shareholding of the Company in MKESPL remains unchanged at 51.00%.

 We are pleased to inform that the Nomination & Remuneration Committee of the Board of the Company on 16 December, 2022 approved the allotment of 1,19,112 equity shares of the face value of Rs. 2/- each, pursuant to the exercise of options by the grantees under UNO Minda Employees Stock Option Scheme, 2019. The Company is in the process of applying for the listing of these aforesaid shares with the stock exchanges i.e. NSE and BSE. The paid-up equity share capital of the Company stands increased from Rs. 114,56,24,764.00 to Rs. 114,58,62,998.00 In terms of Regulations 10(c) of the SEBI (Share Based Employee Benefits & Sweat Equity) Regulations, 2021 ('SEBI Regulations'), the details of the share allotted as above are given in the Annexure-I to this intimation. Further, this intimation is in terms of Regulation 30 of the SEBI (LODR) Regulations, 2015, however, we wish to clarify that the aforesaid allotment of shares is not material in nature to the Company.
