 Pursuant to Section 110 of the Companies Act, 2013 read with Rule 20 & 22 of the Companies (Management and Administration) Rules, 2014 and in furtherance to our letter 25 May, 2023 together with we sent the copy of the Postal Ballot Notice to the exchanges, which has been sent to the shareholders of the Company, seeking their approval for the Resolution(s), as contained in the Postal Ballot Notice dated 30 March, 2023.  In terms of Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we wish to inform you that on the recommendation of Nomination and Remuneration Committee, the Board of Directors of the Company approved the appointment of Dr. Krishana Kumar Khandelwal (DIN-09477623) as an Additional Director in the Category of Non-Executive Independent Director on the Board of the Company for a term of two years with effect from 15/06/2023 to 14/06/2025, subject to approval of the shareholders of the company. Further, this is to confirm that Dr. Krishana Kumar Khandelwal appointed on the Board of the company is not debarred from holding the office of Director by virtue of any SEBI, MCA, RBI order or any other such regulatory authority. The details as required to be disclosed under the aforesaid Regulation 30 read with Clause 7 of Para A of Annexure I of SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09 September, 2015 is enclosed as Annexure-I to this letter.
