 In context to the above and in response to your e-mail dated 27th March, 2023 vide Ref No: L/SURV/ONL/PV/MG/ 2022-2023/3082 seeking clarification from the Company regarding significant movement in the price. We hereby confirm that we have been regularly intimating to the Exchange, as required under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the outcome of Board Meetings, financial performance in addition to all other events, information etc that have a bearing on the operation/performance of the company which include all price sensitive information, etc. We further confirm that there is no material information / announcement (including pending announcement) which in our opinion may have a bearing on the Price behavior in the scrip.  This is to inform you that the Hon''ble National Company Law Tribunal, Kolkata Bench ('NCLT''), at its hearing held on 15th February, 2023 (which was pronounced on 23rd March, 2023) has approved the Scheme of Merger by Amalgamation of Confident Financial Consultancy Private Limited, Fairplan Vintrade Private Limited, Nageshwar Trade-Link Private Limited, Narayan Dealcom Private Limited, Perfect Investment Consultancy Private Limited, Shri Hari Vincom Private Limited, Siddhi Vinayak Commosales Private Limited and Sidhant Investment Advisory Private, Wholly owned subsidiaries of the Company (together referred as "Transferor Companies") Limited with BMW Industries Limited. ("Transferee Company") and their respective shareholders (''the scheme'') under the provision of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder.
