 MODERN SHARES & STOCKBROKERS LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 11/11/2022 ,inter alia, to consider and approve the estimated (provisional) un-audited results for the 2nd Quarter and half year ended September 30, 2022. The notice has been issued pursuant to Regulation 29(1) (a) & 29(2) of the Listing Regulations. Please note that as informed in our letter dated October 4, 2022, the Trading Window has been closed from Tuesday October 4, 2022 and the said window shall open 48 hours after the outcome of the aforesaid meeting is made public.

 Pursuant to Regulation 15(2) of SEBI (LODR) Regulations, 2015, the Compliances with the Corporate Governance provisions as specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 23 ,24, 24A, 25, 26, 27 shall not apply, in respect of the Listed entity, having paid up equity share capital not exceeding rupees ten crore and net worth not exceeding rupees twenty five crore, as on the last day of the previous financial year. As per the latest Audited Accounts of the Company as at March 31, 2022, the paid up equity share capital of the Company is Rs. 2,93,11,250/- and net worth of the Company is Rs. 11,97,24,71 which is below the threshold limit as specified under the said regulation. Therefore, provision of Regulation 23(9) of the SEBI (LODR) Regulations, 2015, as amended are not applicable to our Company. Hence, Our Company is not required to submit 'Disclosure of Related Party Transactions for the half year ended September 30, 2022
