RUBY MILLS LTD. - 503169 - Update On The Commencement Of Operations At The Kharsundi Plant

 This is pursuant to Regulation 30 of SEBI(LODR), 2015 and in continuation to our earlier intimation dated June 15, 2020 concerning illegal strike by the workers at the Kharsundi Processing Plant (' The Plant') of the Company. The Honorable Industries Minister had earlier advised the workers to report to work after completion of the Boiler inspections and to start Operations from 1st July 2020. Partial operations have commenced and one of the Boilers has started operations after the boiler inspection. Further discussions are in progress with the balance work force for full resumption of operations and the operations are expected to commence shortly once the negotiations are fructified and the inspection of the second Boiler is completed.

 As per the Securities and Exchange Board of India (Prohibition of Insider Trading) (Second Amendment) Regulations, 2019, effective July 25, 2019, the 'Trading Restriction Period' shall be made applicable from the end of every quarter till 48 hours after declaration of Financial Results'. In view of the aforesaid, it is hereby intimated that the trading window of the Company is already closed w.e.f. March 31, 2020 which shall continue to remain closed and shall be opened 48 hours after the declaration of Unaudited Financial Results of the Company for the Quarter ending 30 June, 2020.

 In continuation to the disclosure filed on 1st June, 2020 and Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/C MD1/CIR/P/2020/84 dated May 20, 2020 concerning the impact of COVID-19 pandemic on the Company, we hereby give further update that the Company has developed H+ Technology(tm) fabrics that have antiviral, antibacterial and antifungal capabilities that last for multiple washes. H+ Technology's(tm) anti microbial and anti viral efficacy has been tested and the findings indicate that the viruses and microbes don't survive on surface of the treated fabric.The brief details of the same along with other relevant information is provided herewith.

 Pursuant to Regulation 30 of Listing Regulations and in furtherance to our earlier intimation dated May 25, 2020 concerning illegal strike by the workers at the Kharsundi Processing Plant of the Company. The Industries Minister has requested the Deputy Commissioner in the meeting held on June 13, 2020 to sort out any differences & revisit the Agreement if required and draw an amendment to the Agreement. The Honorable Minister advised the workers to report to work after completion of the Boiler inspections and to start Operations from July 01,2020.

 Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)Regulations 2015, we inform you that the workers of the Kharsundi Processing Plant of the Company have resorted to an illegal strike from today despite terms of the 4 year Wage Agreement having being executed between the Company and the workers. The Management is taking necessary corrective steps. As of now, the production at the processing plant has stopped.The intimation of the aforesaid activities by the employees had been served to the Assistant Labour Commissioner, Panvel, and Inspector in Charge, Khalapur Police Station, and District Collector Alibaug, respectively for their information and necessary action required, if any.

 We would like to inform you that the Board of Directors in their meeting held today through Video Conferencing have considered and approved certain austerity measures with a view to conserve cash required for the operations of the Company: 1)Increase in remuneration of Mr. Hiren Shah, Executive Chairman and two Managing Directors w.e.f 1st April, 2020 as approved by the Shareholders at the Annual General Meeting held on 28th September, 2018 is deferred. 2)Reduction in remuneration of Promoter members Mr. Hiren Shah, Executive Chairman and two Managing Directors, Mr. Purav Shah, Chief Executive Officer (CEO) and Executive Director and Mr. Rishabh Shah President by 30% from the salary w.e.f. April 2020 which will be reviewed after six months. 3)The Board has authorized the Mr. Hiren Shah Executive Chairman and both the Managing Directors to jointly take other operational decisions to conserve cash required for the operations of the Company.
