GIC Housing Finance Ltd has informed BSE that a meeting of the Board of Directors of the Company is scheduled to be held on May 18, 2022 inter alia :1. To consider and approve the Audited Standalone and Consolidated Financial Results for the year ended March 31, 2022 along with 4th quarter Standalone and Consolidated financial results;2. To consider the recommendation of Dividend, if any, for the year 2021-22;3. To consider and approve the issue of Non-Convertible Debentures (NCDs), on private placement basis, in one or more tranches (for F.Y. 2022-23) in terms of the provisions of Section 42 of the Companies Act, 2013 & other applicable laws;At the said meeting, a proposal will also be placed for re-validation of Board resolution dated June 28, 2021 relating to issue of Non-Convertible Debentures (NCDs) upto an amount of Rs. 2500 Crore, on private placement basis, in one or more tranches pursuant to ''Master Direction Non-Banking Financial Company - Housing Finance Company (Reserve Bank) Directions, 2021 for a period upto the date of the Annual General Meeting (AGM) of the year 2021-22. It is informed that the subject issue of NCDs of Rs. 2500 Crs. was approved by the members at the 31st Annual General Meeting (AGM) of the Company held on September 27, 2021.It is also informed that as per SEBI (Prohibition of Insider Trading) Regulations, 2015 read with provisions of the Company''s Code of Conduct for Prohibition of Insider Trading, the "Trading Window" for dealing in securities of the company was closed from March 31, 2022...
