 Regulation 15(2)SEBI (LODR) Regulations, 2015 (the 'Listing Regulations'), the compliance with the Corporate Governance provisions as specified in regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and clause (b) to (i) and (t) of sub-regulation (2) of regulation 46 and para-C, D and E of schedule V shall not apply in respect of: 1.  This is to inform you that Annual Secretarial Compliance Report under Regulation 24A of SEBI (Listing Obligations and Disclosure Requirements) (Amendment) Regulations, 2018 read with BSE Circular No. LIST/COMP/10/2019-20, dated 9 May, 2019 is not applicable to our company. Further, we would like to clarify that our company is claiming exemption under Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015 as Corporate Governance provisions shall not apply to the listed entities having paid up equity share capital not exceeding Rs. 10 Crore and Net worth not exceeding Rs. 25 Crore as on the last day of previous financial year. In view of above, the company is exempted under Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015 and consequently the company is also exempted from submitting the Annual Secretarial Compliance Report for the year ended 31st March, 2023 to the Stock Exchange.
