 We wish to inform that in terms of the Company's Code of Conduct to regulate, monitor and report trading by insiders framed pursuant to the SEBI (Prohibition of Insider Trading) Regulations, 2015, the trading window for dealing in securities of the Company by the Designated Persons shall remain closed from July 01, 2022 till 48 hours after declaration of the financial results of the Company for the quarter ended June 30, 2022 to the stock exchanges.  Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that Pridhvi Asset Reconstruction and Securitisation Company Limited, Financial Creditor has withdrawn all the three applications pending under sections 7 and 95 of the Insolvency and Bankruptcy Code, 2016 before the Hon'ble National Company Law Tribunal, New Delhi Bench ('NCLT') as under: (i) Application No. IB-199/ND/2021 against the Company; Corporate Debtor; and Application No. IB-254/PB/2021 against Cyber Media Research & Services Limited, Corporate Guarantor; on May 17, 2022; and (ii) Application No. IB-260/ND/2021 against Mr. Pradeep Gupta, Personal Guarantor, on May 5, 2022. Accordingly, the aforesaid applications have been dismissed as withdrawn and disposed off by the Hon'ble NCLT. Copy of NCLT Orders passed in the above matters are enclosed for your reference.
