 We wish to inform that the Board of Directors of the Company has appointed Mr. Rakesh Mohan Garg (DIN: 0008970794) as an Independent Director (Additional Director), on its Board , for a period of one year, with effect from November 25, 2020, subject to the approval of the Members of the Company. Brief Profile of Mr. Rakesh Mohan Garg, IRS (Retd.) (DIN: 0008970794) Mr. Rakesh Mohan Garg, joined Indian Revenue Service in 1983 and retired as Principal Chief Commissioner of Income Tax in Govt. of India. During his illustrious career spanning over 35 years, he handled various assignments at all levels in the Income Tax Department. Mr. Garg does not hold any share in the Company and is not related to any other director or key managerial personnel of the Company. He is not on the Board of any other company and he is not debarred from holding the office of director by virtue of any order passed by SEBI or any other such authority.  The Board of Directors, in view of prevailing economic & business scenario and to enable Co. management to focus full time on new sunrise sector of healthcare & telemedicine, through Co's proprietary Dhani Technology platform, to cater to domestic, NRIs & other offshore customers, by providing end to end mobile application based technology solutions for Co's e-commerce business through 'Dhani' app, has authorised that the existing asset reconstruction business carried out by Co. through its subsidiary i.e. Indiabulls Asset Reconstruction Co. Ltd (IBARC) be transferred / sold either by way of sale and / or transfer of such business by IBARC and / or sale and transfer of Co's stake in IBARC to prospective buyer(s) at a consideration, which shall not be less than the fair value of equity shares of IBARC or fair value of its investment in SRs & consequently surrender of certificate of regn. of existing asset reconstruction business by IBARC.  In terms of Regulation 32 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the statements of deviation, for the quarter ended September 30, 2020, on the utilization of proceeds of Rights Issue and Preferential Issue of the Company are attached in the format specified vide circular CIR/CFD/CMD1/ 162/2019 dated December 24, 2019, issued by the Securities and Exchange Board of India. In this respect we wish to submit that: (a) There is no deviation as regards the utilization of funds from the objects stated in the Letter of Offers for DSL's Rights Issue and Preferential Issue.  Pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), we enclose hereto, for your information and record, the Unaudited Standalone and Consolidated Financial Results of the Company, for the quarter and half year ended September 30, 2020, duly approved by the Board of Directors of the Company ('the Board') at its meeting held today i.e. November 11, 2020.
