 In continuation to our earlier intimation dated May 22, 2021 w.r.t. the adjudication order dated May 21, 2021 from SEBI, please be informed that an appeal was filed against the said order of SEBI, by Company/Company Secretary before Securities Appellate Tribunal (SAT). SAT vide its order dated June 30, 2022 (received by the Company on July 12, 2022) was pleased to quash the impugned order of Adjudicating Officer (AO) of SEBI and the matter was remanded back to AO for fresh consideration.

 We wish to inform that Board constituted Securities Issuance Committee in its meeting held today i.e. July 1, 2022, has appropriated Rs. 65,10,456 received on 60,282 partly paid up shares (PPS) as third and final call money of Rs. 108/- per PPS, towards face value (Re. 0.90 per share and share premium (Rs. 107.10 per share). With this 60,282 PPS stand converted into equivalent number of fully paid up equity shares having face value of Rs. 2 each, which shall rank pari passu with the existing fully paid up equity shares of the Company.  We wish to inform that the Compensation Committee constituted by the Board of Directors of the Company has, at its meeting held today i.e. June 27, 2022, granted, under the 'Dhani Services Limited Employees Stock Option Scheme(s) - 2008 & 2009', 1,16,00,000 (One Crore Sixteen Lakh) Stock Options, out of the lapsed / surrendered Stock Options, granted earlier, representing an equal number of equity shares of face value of Rs. 2/- each in the Company, at an exercise price of Rs. 30/- (against Rs. 29.60, which is the latest available closing market price on the National Stock Exchange of India Limited, as on June 24, 2022). In compliance with SEBI ESOP Regulations, the Promoter Director shall not be eligible to participate in such grant of Stock Options. The Stock Options so granted, shall vest within 5 years beginning from June 28, 2023, the first vesting date. The options vested under each of the slabs, can be exercised within a period of five years from the relevant vesting date.
