We refer to our disclosure dated June 22, 2020, regarding an auction.....put up by the Ministry of Information Affairs (MIA), Government of Bahrain for selling out the operation and management of an Entertainment Radio Channel Frequency and acceptance of the said bid submitted by the Company. We refer to disclosure dt May 9, 2021, regarding launch of Mirchi Radio Station through our 100% subsidiary - Mirchi Bahrain WLL. In view of the advertising revenue losses caused by Covid-19 pandemic situation and in absence of any concession in the license fees from the MIA, Bahrain to support the business operations, Mirchi Bahrain WLL has been facing a lot of challenges in running the business.....Spending by advertisers has reduced by over 50-60%, causing complete disruption of our business estimates....... In light of the aforesaid circumstances........., we are in process of exploring the possibility of an early termination of the Contract with MIA, with effect from December 31, 2022. Considering the business environment in certain markets, the board of directors and management of the Company have re-assessed their business strategy. Basis the revised estimates, it has recorded impairment for its investment in US and Bahrain operations aggregating to Rs. 1,011.02 lakhs and Rs. 504.33 lakhs respectively. b. Based on the recommendation of the Nomination & Remuneration Committee, the Board of Directors, at their meeting held on October 31, 2022, considered and approved the following, subject to regulatory approvals, if required: 1)Appointment of Mr. Yatish Mehrishi as the Chief Executive Officer and Key Managerial Personnel as per the provisions of the Companies Act, 2013 effective from November 1, 2022; and 2)Re-designation of Mr. Prashant Panday (currently designated as the Managing Director & Chief Executive Officer) as the Managing Director effective from November 1, 2022.
