 Further to our Letter dated 16th April, 2021 intimating your esteemed Exchange of a board meeting being convened today to consider a proposal for merger of one of our wholly-owned subsidiary companies viz., Sagar Cements (R) Limited with us, we wish to inform you that our Board of Directors at their meeting held on today has accorded their approval for the above merger, which will be subject to further approvals as may be required from the authorities concerned. As the above merger is essentially between the holding company and its wholly-owned subsidiary company, the scheme of merger as since approved by our Board for the purpose does not contemplate issue of any fresh shares by Sagar Cements Limited consequent to the proposed merger.
