Dear Sir / Madam, Further to our letter dated 1st February 2021, we wish to inform you that the Asset Purchase Agreement has been executed between our wholly owned subsidiary JKM Ferrotech Limited and Danblock Brakes India Private Limited on 7th April 2021. The Asset Purchase Agreement is subject to satisfactory completion of the conditions precedent, other provisions of the Agreement and the transfer of assets will be effective by end of 20th April 2021 or such other date as may be mutually agreed between the parties ('the Closing date').
