Please note that the Company has on 6th September, 2019 issued and allotted 2,87,500 equity shares consequent to exercise of options, at the exercise price as determined under Future Consumer Enterprise Limited - Employee Stock Option Plan - 2014, of the Company. In terms of the aforesaid allotment of equity shares, the paid-up share capital of the Company stands increased to Rs. 11,52,63,28,080/- comprising of 1,92,10,54,680 equity shares of Rs. 6/- each. This may please be considered as compliance in terms of the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. In continuation to our earlier letter dated 8th November, 2017, this is to inform you that, the Hon'ble National Company Law Tribunal, Mumbai Bench (NCLT) has on 25th July, 2019, approved the Scheme for Reduction of Share Capital of Company by way of utilization of an amount of ? 2,86,90,40,797 out of the amount of ? 3,14,27,82,392 standing to the credit of the Securities Premium Account of the Company as on 31st December, 2017, for writing off the Accumulated Losses to the tune of ? 2,86,90,40,797 appearing in the books of account of the Company as on 31st December, 2017. Further please note that, the Company has received the certified copy of aforesaid order of the Hon'ble NCLT on 30th August, 2019. Copy of the said order is enclosed herewith. Kindly take the same on record in compliance with the provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended and acknowledge receipt.31-08-2019

This has reference to our earlier disclosures dated 6th February, 2019 relating to acquisition of balance stake of 10% (Ten percent) in Future Consumer Products Limited ('FCPL') by way of purchase of equity shares from the remaining shareholder(s) of FCPL. In continuation to the same, this is to further inform you that, now having achieved the closing requirements as prescribed under the definitive agreement(s), the Company has acquired the balance stake of 10% in FCPL from its remaining shareholders. With this acquisition, FCPL has now become a wholly owned subsidiary of the Company. In terms of the aforesaid, the Shareholders Agreement between the Company and the other Shareholders stands terminated. Kindly take the same on record in compliance with the provisions of Listing Regulations and acknowledge receipt.23-08-2019
