 1. The Un-audited Financial Results for the Quarter/Half-year ended 30th September 2019 on Standalone basis which has been reviewed by the Audit Committee pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 have been approved by the Board. Please find enclosed the Unaudited Financial Results for the Quarter/Nine Months ended 31st December 2019 on Standalone basis together with Limited Review of Statutory Auditors of the Company. 2. NSE has sent mail levying penalty of Rs. 70000/- plus applicable GST @18% for non-compliance of having full time company secretary as per listing company regulations. Board felt that to discuss and write to them to condone the penalty levied and exempt from appointment of Company Secretary as the Company is undergoing the Corporate Insolvency Resolution Process.

 Members attended Mr. Ajit Kewin Head Recovery Phoenix ARC Private Limited Mr. C Chankrasekhar Chief Manager, Corporation Bank Mr. D V S Prakash and Mr. Karaturi Satya Srikanth, Directors on the Board of the Company have submitted their resignations to the RP and the same was placed before this meeting. Their resignations was rejected by the all members of Committee of Creditors by 100% voting share and they have been asked to continue as Directors of the Company till the approval of the Resolution Plan approved by Adjudicating Authority NSE has sent a notice stating that there is not full time company secretary on the rolls of the Company and sought the reasons for the same. CoC decided to write the present status of the Company and seek exemption of full time company secretary till the resolution plan approval by the Adjudicating Authority CoC further decided to take the help of Company Secretary to take care of the statutory obligations of the listed company.
