In continuation to our letter dated 23rd June 2022, we are pleased to inform you further that the Hon'ble National Company Law Tribunal ('NCLT'), Chandigarh, in its hearing held on 15th February 2023, approved the scheme of Amalgamation of M/s Rico Investments Limited, M/s Rasa Autocom Limited and M/s Rico Aluminium and Ferrous Auto Components Limited ('Transferor Companies') with and into M/s Rico Auto Industries Limited ('Transferee Company'). The transferor companies, being wholly owned subsidiaries, no equity shares are to be allotted by the transferee (Holding) Company. The order has been kept reserved by NCLT and shall be pronounced by them at a later date.
