This is further to our letter No. SSIL/2019/582 dated 14th November, 2019 and Regulation 30 of the SEBI (LODR) Regulations, 2015, we inform you that the Board of Directors in their meeting held on 14/11/2019 had considered and approved the matter of sale, lease or otherwise dispose of Undertaking or substantially the whole of Undertaking of the Company pertaining to SAB Mall, Noida together with all its assets including inventories/ stock-in-trade and/ or liabilities as a going concern, on such terms and conditions, and with such modifications as may be required, as the Board may deem fit and appropriate in the interest of the Company subject to approval of the shareholders pursuant to provisions of Section 180(1)(a) of Companies Act, 2013 and other rules and regulations as applicable and Bankers or any other appropriate authorities.
