Varun Beverages Ltd - 540180 - Announcement under Regulation 30 (LODR)-Change in RTA

 Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in continuation to our letter dated August 1, 2022, we wish to inform that the Registrar and Share Transfer Agent ('RTA') of the Company has been changed from 'Link Intime India Private Limited' to 'KFin Technologies Limited' w.e.f. 04.01.2023. [Letters received from National Securities Depository Limited dated 03.01.2023 and Central Depository Services (India) Limited dated 04.01.2023 are enclosed herewith] Further, in terms of Regulation 7 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, a tripartite agreement between the Company, Link Intime India Private Limited (previous RTA) and KFin Technologies Limited (new RTA) is under process and same will be intimated in due course.

 Pursuant to the provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015 and further clarification issued by the Stock Exchanges in this regard, we wish to inform you that the Trading Window for trading in Equity Shares of the Company will remain close from Sunday, January 1, 2023 till end of 48 hours after the declaration of Annual Financial Results for the Financial Year ending December 31, 2022. During the closure of Trading Window, insiders have been advised not to deal in Equity Shares of the Company. The date of the Board Meeting of the Company for declaration of Annual Financial Results for the Financial Year ending December 31, 2022 will be intimated in due course. Further, please note that the Company is following 1st January to 31st December as its Financial Year in terms of Section 2(41) of the Companies Act, 2013 as approved by the Company Law Board.

 Varun Beverages Limited follows a high level of safety standards at all its manufacturing facilities without exception. The Company conducts regular preventive maintenance including annual maintenance at its plants. During this process on 21st November, 2022, the Plate Heat Exchanger (PHE) caused a noticeable smell in the area towards security. As per the Company's SOP, the security set-off an alarm and listening the alarm, the staff followed the Company's SOPs to ensure complete safety and avoid any eventuality of mishap of any kind - human or assets. Some conscientious locals also called fire brigade, police and other agencies who after ensuring the safety standards concluded that the situation was normal to everyone satisfaction and there was no mishap or any injury caused to anyone which was duly communicated to all.
