 Dear Sir/ Ma'am, This is in furtherance to the disclosures dated January 19, 2022 and March 18, 2022, whereby we had intimated that New Delhi Television Limited ('NDTV') and NDTV Networks Limited ('Networks/Subsidiary of NDTV') have entered into a Share Sale and Purchase Agreement dated January 19, 2022 with Astro Entertainment Sdn Bhd for the sale of 3,424,500 ordinary shares (1,712,250 each, held by NDTV and Networks), constituting 20% of the total share capital of Astro Awani Network Sdn Bhd, and that the transaction is subject to certain conditions including the approval of the Reserve Bank of India. We hereby inform that the long stop date of June 18, 2022 for fulfilment of conditions precedent to the transaction has now been extended to October 18, 2022 as mutually agreed to by all the parties to the transaction.  The founders of NDTV, Radhika and Prannoy Roy, have today won their request to travel abroad from August 1 to August 30, 2022. The Hon'ble Delhi High Court, in response to a Writ Petition filed by Dr. and Mrs. Roy, said: As the record presently stands, the Court finds that the respondents do not place reliance on any material which may even remotely indicate that the petitioners constitute a flight risk. It is also not shown or established that they have failed to render cooperation in the ongoing investigation. From the material placed on behalf of the applicants, it is manifest that the petitioners have deep rooted ties in the country and consequently the prayer for interim permission as made would merit acceptance.

 Broadcasting & Cable TV company New Delhi Television declares Q4FY22 result: NDTV result: TV profit at an all-time high, group’s best in over a decade NDTV results: TV and online companies record highest-ever profit The NDTV Group‘s television company, NDTV Limited, has recorded its most profitable quarter and year in its history. The profit for Q4 is Rs 17.8 crores and Rs 59.2 crores for the year 2021-2022. The annual consolidated profit for the group is the highest in over a decade at Rs 79.7 crores. Significantly, the Group’s profit on core business, excluding gains on investments, has nearly doubled from Rs 38.5 crores to Rs 73.3 crores. NDTV Convergence, the digital arm of the Group, has in this financial year delivered its highest-ever revenue and profit. Its position as the market leader for credible news has helped it consolidate its position as one of the country’s few profitable online content companies.
