NDTV has, in the matter of the public announcement dated August 23, 2022 by Vishvapradhan Commercial Private Limited (proposed Acquirer) along with AMG Media Networks Limited (PAC 1) and Adani Enterprises Limited (PAC 2) in New Delhi Television Limited (Target Company), under the SEBI (SAST) Regulations, 2011 (as amended), of the proposed open offer notified the proposed Acquirer that:1. NDTV founders Radhika and Prannoy Roy have, in the matter of the notice dated August 23, 2022 issued by Vishvapradhan Commercial Private Limited (VCPL), for exercise of conversion option of warrants into equity shares of promoter group vehicle RRPR Holding Private Limited (RRPRH) which owns 29.18% equity interests in NDTV, informed NDTV, as under: 1. Restrictions are in force, under SEBI order dated November 27, 2020, in relation to the NDTV founders buying, selling or otherwise dealing in securities, directly or indirectly, or being associated with the securities market in any manner whatsoever for a period of 2 years, with restraint on existing holding of securities, including units of mutual funds, under freeze by SEBI. 2. SEBI approval is, therefore, considered a necessary precursor to VCPL entitlement to convert warrants into equity shares for acquiring 99.5% of the founders' company RRPRH, for the duration the SEBI order dated November 27, 2020 remains in force.24-08-2022

Without any discussion with New Delhi Television Limited (NDTV) or its founder-promoters, a notice has been served upon them by Vishvapradhan Commercial Private Limited (VCPL), stating that it (VCPL) has exercised its rights to acquire 99.50% control of RRPR Holding Private Limited (RRPRH), the promoter-owned Company that owns 29.18% of NDTV. The NDTV founders and the Company would like to make it clear that this exercise of rights by VCPL was executed without any input from, conversation with, or consent of the NDTV founders, who, like NDTV, have been made aware of this exercise of rights only today. RRPRH, which owns 29.18% of NDTV, has been told to transfer within two days all its equity shares to VCPL.23-08-2022
