 ITC LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 18/05/2023 ,inter alia, to consider and approve In terms of Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we write to advise that a Meeting of the Board of Directors of the Company has been convened for Thursday, 18th May, 2023, inter alia, to: (a) consider and approve the Audited Standalone and Consolidated Financial Results of the Company along with the Segment-wise Revenue, Results, Assets and Liabilities for the Quarter and Twelve Months ended 31st March, 2023, the Balance Sheet as on that date, the Cash Flow Statement for the financial year ended on that date and the Notes thereto, and (b) consider and recommend Final Dividend for the financial year ended 31st March, 2023.

 Further to our letters dated 17th January, 2023 and 19th April, 2023 on the subject, we write to advise, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, that the Company has on 4th May, 2023 acquired 2,443 Equity Shares of Rs. 10/- each and 7,215 Compulsorily Convertible Preference Shares of Rs. 10/- each for an aggregate consideration of Rs. 175 crores. With the aforesaid acquisition, the Company's shareholding in Sproutlife aggregates 39.42% of its share capital on a fully diluted basis.

NCLAT sets aside CCI penalty on ITC for not furnishing info on Savlon deal

 The National Company Law Appellate Tribunal (NCLAT) has set aside the penalty imposed on multi-conglomerate ITC by fair trade regulator CCI for not notifying for the acquisition of brands 'Savlon' and 'Shower to Shower' in 2017. ITC had 2017 acquired the antiseptic brand Savlon and the personal care product brand Shower To Shower from Johnson & Johnson Private. The Competition Commission of India (CCI) had on December 11, 2017, imposed a fine of Rs 5 lakh on ITC for alleged failure to give notice under sub-section 2 of Section 6 of the Competition Act. The section mandates the enterprise, which proposes to enter into a combination, to give notice to the CCI disclosing the details of the proposed combination, within 30 days. However, the CCI's order was challenged by ITC before the NCLAT, which is an appellate authority contending that the value of the deal was Rs 68.37 crore, hence, as per the rules and regulations, there was no need for any such notification. They were exempted .

 By the end of the trading session on April 25th, ITC's market cap stood at 5,11,226.51 crore. The m-cap rose by more than 3,500 crore from the previous session. With this, ITC climbed the ladder to become the sixth-largest company in India in terms of market cap.
