 This has reference to your mail dated 1.4.2019 pointing out discrepancies in the voting results of Postal Ballot submitted by the Company with the Stock Exchange in XBRL mode on March 29, 2019. In this connection, we wish to bring to your kind notice that the resolution placed in the Postal Ballot notice dated 11.2.2019 pertains to Re-appointment of Mr Dhruv M sawhney as Manging Director of the Company. The re-appointment of Mr Dhruv M Sawhney as Managing Director of the Company does not fall under the category of material related party transaction under Regulation 23 (4) (A) and also policy of the Company. However as a matter of abundant caution Mr Dhuv M Sawhney and his HUF i.e. Manmohan Sawhney ( HUF) of which he is a Karta did not participate in the voting. Thus you will observe from the voting results that the promoters had only cast upto only 87.683% of their total votes . We hope you will find the above in order.

 Please find enclose following (i) A copy of the Postal Ballot notice dated February 11, 2019 ('Postal Ballot Notice'), together with annexures attached thereto including explanatory statement, and Postal ballot form. The business as set out in aforesaid postal ballot notice is to be transacted by the members through postal ballot which includes voting by electronic means. In terms of the provisions of the Companies Act, 2013 read with Rules framed thereunder and the Listing Regulations, the Company is providing facility for voting by electronic means through e-voting platform of M/s Central Depository Services (India) Limited (CDSL) through their portal https://evoting.India.com. The voting period including e-voting commences on February 27, 2019 (9:00 a.m. IST) and ends on March 28, 2019 (5:00 p.m. IST). During this period, the members of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date i.e. February 15, 2019, may cast their vote physically or through e-voting.
