 This has reference to our earlier intimation dated 14th August, 2020, on convening of Fifteenth AGM of the Company on Monday, September 7, 2020 at 11:00 A.M. through Video Conferencing / Other Audio Visual Means without the physical presence of Members at a common venue, in compliance applicable Circulars issued by MCA and SEBI. In this connection and as required under Listing Regulations, we hereby enclose herewith Company's Notice convening the Fifteenth AGM and Annual Report for the FY 2019-20. (IST) through Video Conferencing / Other Audio Visual Means without the physical presence of Members at a common venue, in compliance with General Circular No. 14/2020 dated 8th April, 2020, 17/2020 dated 13th April, 2020, 22/2020 dated 15th June, 2020, issued by Ministry of Corporate Affairs, and Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated 12th May, 2020, issued by SEBI ('Circulars').  This is to inform you that Mr. Sameer Gehlaut has relinquished the office of Executive Chairman with immediate effect and Mr. Gehlaut has been re-designated as Non-Executive, Non-Independent Director of the Company. Further, Mr. Gehlaut informed the board that he has taken up the position of Chief Executive Officer of another listed company promoted by him - Indiabulls Ventures Ltd and going forward he would like to focus full time on the Chief Executive's role for growing it's consumer business in finance and healthcare on App Dhani. Thereafter, Mr. Gehlaut proposed the name of Mr. Subhash Sheoratan Mundra (Ex- Deputy Governor of Reserve Bank of India and an Independent director on the Board of the Company) for the position of Non-Executive Chairman of the Company. The Board of Directors of the Company unanimously agreed with the suggestion made by Mr. Gehlaut, and appointed Mr. Mundra as Non-Executive Chairman of the Company with immediate effect.
