 This is to inform that in terms of Company's Code of Conduct to Regulate, Monitor and Report Trading in Securities, pursuant to SEBI (Prohibition of Insider Trading) Regulations 2015, the Trading Window for trading in the shares of the Company is closed from closure of business hours of 31st December, 2022 till completion of 48 hours from the date on which the unaudited financial results for the quarter and nine months ended 31st December, 2022 will be declared. The date of declaration of the financial results shall be informed in the due course. All Designated Persons and their immediate relatives of the Company have been advised not to trade in the securities of the Company during the aforesaid period of Closure of Trading Window.

 This is in further to our intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 dated December 01, 2022 regarding assignment of the leasehold rights in the land and sale of the building, other superstructure and machineries located at Plot No. E-24 to E -26 & S-5 to S-7, SIPCOT Industrial Growth Centre, Perundurai - 638 052, District - Erode, Tamil Nadu to Arjuna Natural Private Limited. The total consideration received by GRP Limited for the said assignment is Rs. 18,65,00,000/- (Rupees Eighteen Crores and Sixty Five Lakhs Only) of which Rs. 8,32,81,000/- (Rupees Eight Crores Thirty Two Lakhs & Eighty One Thousand Only) is towards transfer of leasehold rights in land and Rs. 10,32,19,000/- (Rupees Ten Crores Thirty Two Lakhs and Nineteen Thousand Only) towards the sale of building, other superstructure and machineries.

 Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, and further to our intimation dated 28/08/2020 regarding temporary suspension of Perundurai plant of the Company, GRP Limited has assigned the leasehold rights in the land and sold the building, other superstructure and machineries located at Plot No. E-24 to E -26 & S-5 to S-7, SIPCOT Industrial Growth Centre, Perundurai - 638 052, District - Erode, Tamil Nadu for Rs.10,32,19,000 (Rs. Ten Crores Thirty Two Lakhs Nineteen Thousand Only) to Arjuna Natural Private Limited. Sale deed for sale of building, other superstructure and machineries has been executed and registered on 01/12/2022 with Arjuna Natural Private Limited.
