 The Board of Directors of the Company met earlier today and took note of the status of Scheme of arrangement between Indus and Bharti Infratel. Since the conditions precedent to be fulfilled for the Scheme to become effective cannot be completed by the extended Long Stop Date i.e. June 24, 2020, the Board of Directors have further extended the Long Stop Date till August 31, 2020, subject to agreement on closing adjustments and other conditions precedent for closing, with each party retaining the right to terminate and withdraw the scheme. The final decision to implement the scheme will be taken by the Board keeping in mind the best interest of the Company and its stakeholders.

 The Board of the Company was scheduled to meet today to take a final decision on the Scheme of arrangement between Indus Towers and Bharti Infratel. Certain inputs that would have been required by the Board for it to deliberate and take a final decision have been delayed given the current environment. In view of the same, the said Board meeting has been rescheduled for a later date but definitely on or before the current long stop date of 24th June 2020.

 The Board of Directors of the Company in its meeting held on 3rd June, 2020, inter-alia, took note of the status of Scheme of arrangement between Indus Towers and Bharti Infratel. The Board has decided to meet on 11th June, 2020 to take the final decision on the matter, keeping in mind the best interest of the Company and its stakeholders. It may be noted that the Board of Directors in its meeting held on 23rd April, 2020 had extended the long stop date for the Scheme till 24th June, 2020, with each party retaining the right to terminate and withdraw the Scheme at any point. Accordingly, there can be no certainty whether the merger will get completed or not.
