 Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 we wish to inform you that the Board of Directors of the Company at its meeting held on 30th July, 2021 has: 1. Considered and approved the Unaudited Financial Results of the Company for the Quarter ended 30th June, 2021. The Statutory Auditors have carried out Limited Audit Review for the said Quarter. An extract of the Unaudited Financial Results along with Limited Review Report for the Quarter ended 30th June, 2021 is enclosed herewith. 2. Approved the re-appointment of Mr. Krishankumar Bhajanlal Rathi (DIN: 00156061) as Managing Director of the Company for a period of 3 (Three) years and the same be recommended to the members for their approval at the ensuing Annual General Meeting.  With reference to the captioned subject and Regulation 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the provisions of Regulation 23(9) of the said Listing Regulations, are not applicable to the Company as the Paid-up Share Capital of the Company is less than Rs. 10 Crores and Net Worth of the Company is also less than Rs. 25 Crores as on 31st March, 2021. As per Regulation 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the compliance with the Corporate Governance provisions as specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and Clauses [b] to (i) of sub-regulation [2] of regulation 46 and para C, D and E of Schedule V shall not apply in respect of the listed entity having paid up equity share capital not exceeding rupees ten crores and net worth not exceeding rupees twenty five crores as on the last day of the previous financial year.
