We refer to our letter dated 25th March, 2019 enclosing postal ballot notice sent to the shareholders to seek their approval for the sale of Company's Undertakings at Delhi, Bengaluru, Chennai, Udaipur, Company's Hotel Operations Undertaking and Company's shareholding in Leela Palaces and Resorts Limited, a wholly owned subsidiary of the Company. As per the schedule, the e-voting commenced on 26th March, 2019 and will end on 24th April, 2019. The date of declaration of the results is on 26th April, 2019. In view of the representations / allegations made by two shareholders against the Company to SEBI with respect to the Postal Ballot Notice, SEBI has advised the Company to ensure that none of the transactions proposed in the Postal Ballot Notice dated 18th March, 2019 are acted upon till further directions from SEBI.24-04-2019

Exchange is in receipt of a letter from SEBI, wherein SEBI has advised Hotel Leelaventures Limited to ensure that none of the transactions proposed in the Postal Ballot Notice dated March 18, 2019 are acted upon till further directions from SEBI. Further, in the letter, SEBI has also directed the Company to disclose the letter in terms of Regulation 30 of SEBI LODR, 2015. However, it has been observed by the Exchange that, no such disclosure has been made by Hotel Leelaventures Limited in this matter till now.The reply is awaited.24-04-2019
