 We refer to our letter dated May 26, 2023, informing you that the Board of Directors of Nexus Select Mall Management Private Limited (previously known as Nexus India Retail Management Services Private Limited), the Manager to Nexus Select Trust ('Trust') at its meeting held on May 26, 2023, approved the raising of debt up to an aggregate amount of INR 2,350 Crores (Indian Rupees Two Thousand Three Hundred and Fifty Crores only), through means and for purposes as specified therein. We now wish to inform you that the Board of Directors of the Manager, at its meeting held today, i.e., on June 06, 2023, has approved the issuance of listed, rated, secured, redeemable, rupee denominated, non-convertible debentures (the 'NCDs') by Trust on a private placement basis in the manner as detailed in the outcome.

S R B C and Co LLP, Chartered Accountants, the Statutory Auditors of Nexus Select Trust, have not expressed any modified opinions in the Audit Reports of Nexus Select Trust for the Financial Year ended March 31, 2023. Please note that the Nexus Select Trust has submitted its Financial Statements for the Financial Year ended March 31, 2023 to the Stock Exchanges as per the provisions of the Securities and Exchange Board of India (Real Estate Investment Trusts) Regulations, 2014, and the circulars issued thereunder, including SEBI Circular No. CIR/IMD/DF/146/2016 dated December 29, 2016 and SEBI Circular No. SEBI/HO/DDHS/DDHS_Div3/P/CIR/2022/52 dated April 26, 2022. Regulation 33/ 52 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, is not applicable to the Nexus Select Trust.
