FORTIS HEALTHCARE LTD. - 532843 - Intimation Under Regulation 30 Of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015

 This is in continuation of our intimation dated October 18, 2018, December 22, 2018, March 20, 2019, November 13, 2020, November 20, 2020 and April 15, 2021 with respect to an ad-interim ex-parte order passed by Securities and Exchange Board of India ('SEBI') in the matter relating to the alleged diversion of funds from the Company by its erstwhile promoters. SEBI has now issued an adjudication order no. Order/GR/KG/2022-23/16420-16458 ('Order') dated May 18, 2022, inter-alia in respect of Escorts Heart Institute and Research Centre Limited - a wholly owned subsidiary of Fortis Healthcare Limited - in the aforesaid matter. The management and Board of the Company that was newly constituted after NTK Ventures Pte. Ltd. became promoters of the Company, are evaluating the Order in detail, in consultation with their legal advisors. The detailed disclosures as required under Regulation 30 of the SEBI (LODR) Regulations, 2015 is enclosed as 'Annexure A'.

Fortis Healthcare case: Sebi slaps Rs 38.7-cr penalties on 32 entities

 Capital markets regulator Sebi has imposed penalties totalling Rs 38.75 crore on 32 entities, including Fortis Healthcare Holdings, in a case related to diversion of funds of Fortis Healthcare Ltd (FHL) and misrepresentations to conceal the fraud. The matter goes way back to 2018 when a media report came out that the promoters of the listed FHL had allegedly taken massive funds out of the listed company. It had also pointed out that Deloitte Haskins & Sells LLP, the statutory auditor of FHL, had refused to sign on the company's second quarter results until the funds were accounted for. Subsequently, the regulator had initiated an investigation into the matter to examine possible violation of the provisions of the PFUTP (Prohibition of Fraudulent and Unfair Trade Practices). It conducted a probe into the matter of grant of Inter-Corporate Deposits (ICDs) to three borrower companies -- Best Healthcare Private Limited, Fern Healthcare Private Limited, and Modland Wears Private...
