The Company, on January 9, 2018, had allotted 72,14,644 Warrants, on preferential basis to persons other than Promoters & Promoter Group). As per the terms of allotment of the said Warrants read with Chapter V of SEBI ICDR 2018 (Chapter VII of SEBI ICDR 2009) the Warrant holders were entitled to exercise the right attached to the said Warrants and subscribe to one (1) Equity Share of Rs. 2/- each against each Warrant, within a period of Eighteen (18) months from the date of allotment of such Warrants, i.e. on or before July 8, 2019. We hereby inform you that the Warrant holders have failed to exercise their rights to acquire Equity Share underlying the said Warrants and as a result 72,14,644 Warrants stands cancelled/lapsed and consideration of Rs. 11,54,34,304/- (25% of total consideration) received by the Company from the Warrant holders, towards allotment of said Warrants, is forfeited in accordance with the terms of the said Warrants and the provisions of the SEBI ICDR 2018. Pursuant to Regulation 30 read with Schedule III of the SEBI (LODR) Regulations, 2015 and further to the intimation made to the Stock Exchanges on February 3, 2018, we would like to inform that RCube Energy Storage Systems LLP, in which Windsor Machines Limited was holding 55% partnership interest has been converted into a limited company under the name of RCube Energy Storage Systems Private Limited, w.e.f. June 27, 2019. After the aforesaid conversion Windsor Machines Limited holds similar interest in the form of equity shares, by holding 55% of the total equity share capital of RCube Energy Storage Systems Private Limited. Thus, Windsor Machines Limited now holds equity shares of paid up value of Rs. 8.88 crores in RCube Energy Storage Systems Private Limited out of its total paid up equity share capital of Rs. 16.15 crores. Further to our earlier communication dated May 27, 2019, regarding the decision of Board of Directors to run the business of Wintal Machines S.r.l. (Italy) as a Division of Windsor Machines Limited, we would like to inform you as follows: As a part of the dissolution process of Wintech B.V. (Wholly owned Subsidiary of Windsor Machines Limited in Netherlands), the equity shares held by Wintech B.V. in Wintal Machines S.r.l (Wholly owned Subsidiary of Wintech B.V. in Italy) have been transferred to Windsor Machines Limited. Windsor Machines Limited thus now owns 100% equity shares (2,00,000 equity shares of euro 1 each) of Wintal Machines S.r.l. (Italy) which has now became immediate Wholly Owned Subsidiary (WOS) of Windsor Machines Limited, instead of stepdown subsidiary earlier. Liquidation of Wintech B.V. (Netherlands) is in final stages and any progress in the matter will be informed to the Stock exchange in due course.
