 With reference to the letter received by the Company dated May 19, 2020, regarding the reclassification of National Engineering Industries Limited and Central India Industries Limited from the ''Promoter and Promoter Group'' category to the ''Public'' category of shareholders of the Company ("Request") and the letter dated May 20, 2020 intimating you of the same, we wish to inform you that the Board of Directors of the Company held a meeting on May 27, 2020 to consider the Request. The Board of Directors took note of the Request and, subject to the approval of the shareholders of the Company, BSE Limited, National Stock Exchange of India Limited and such other approvals as may be necessary, based on the reasons and confirmations provided by National Engineering Industries Limited and Central India Industries Limited therein, approved their reclassification from the ''Promoter and Promoter Group'' category to the ''Public'' category of shareholders of the Company.

 The Board Meeting to be held on 27/05/2020 has been revised to 27/05/2020 Pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in continuation to our intimation dated May 17, 2020, this is to inform you that, as directives issued by local/ government authorities on timings for free movement of citizens due to COVID 19 pandemic, a meeting of the Board of Directors of the Company has been rescheduled at 10.00 a.m. on Wednesday, May 27, 2020 through video conferencing inter alia, to consider and approve the audited financial results of the Company for the quarter and year ended March 31, 2020 and recommendation of dividend, if any, subject to declaration of the same by the Members in the ensuing Annual General meeting. As intimated earlier vide letter dated March 31, 2020 & May 17, 2020 the trading window closure period has commenced from April 1, 2020 & will end 48 hours after the declaration of Financial Results for the quarter & year ended March 31, 2020.

 In accordance with Regulation 31A(8) of the Listing Regulations, we hereby inform you that we are in receipt of a letter dated May 19, 2020 whereby certain shareholders, namely National Engineering Industries Limited and Central India Industries Limited have requested that they be reclassified from the 'Promoter and Promoter Group' category to the 'Public' category of shareholders of the Company, under the provisions of the Listing Regulations ('Request'). The Request will be considered by the board of directors, and all appropriate approvals will be sought as set out in Regulation 31A of the Listing Regulations. Please find enclosed a copy of the request letter received in this regard as required by Regulation 31A of the Listing Regulations. Kindly take the same on record.
