ADOR WELDING LTD. - 517041 - Announcement under Regulation 30 (LODR)-Scheme of Arrangement
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('LODR') read with SEBI Circular bearing reference number CIR/CFD/CMD/4/2015 dated 09th September, 2015, we hereby submit the outcome of the meeting of the Board of Directors ('Board') of Ador Welding Limited ('AWL' or the 'Transferee Company') held on 31st May 2022. Based on the recommendations of the Audit Committee and the Committee of Independent Directors, the Board considered and approved the Scheme of Amalgamation (Merger by Absorption) (the 'Scheme') under Section 230 to 232 and other applicable provisions of Companies Act 2013 ('the Act'). Further, the Board has given authorisation to file the Scheme along with relevant disclosures, documents, certifications, and undertakings with the Stock Exchanges.31-05-2022
