Pursuant to Regulation 30 of the SEBI (LODR) Regulations, 2015 (Listing Regulations), we wish to inform you that Board of Directors at their meeting held today, has inter alia, approved the Scheme of amalgamation of Mo hit Agro Commodities Processing Private Limited ("Transferor Company"), Wholly Owned Subsidiary of the Company with Gujarat Ambuja Exports Limited ("Transferee Company") in accordance with the provisions of Companies Act, 2013 and other applicable laws. The Scheme is subject to the requisite statutory/regulatory approvals including the approval of jurisdictional National Company Law Tribunal (''NCLT'').
