Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('SEBI Listing Regulations'), we would like to inform that pursuant to the recommendation of the Nomination and Remuneration Committee, the Board of Directors (the 'Board') of Fino Payments Bank Limited (the 'Bank') has, at its meeting held today i.e. Thursday January 11, 2024 has inter-alia considered and approved the appointment of Mrs. Anita Sudhir Pai (DIN: 07651059) as an Additional Director in the capacity of 'Independent Director' of the Bank with effect from January 11, 2024 in terms of the provisions of Sections 149, 152 and 161 of the Companies Act, 2013 read with the relevant Rules made thereunder, SEBI Listing Regulations and the applicable provisions of the Banking Regulation Act, 1949, and the rules, guidelines and circulars issued by the Reserve Bank of India in this regard, from time to time.11-01-2024
