 This has reference to our earlier intimations dated September 13, 2021 and October 13, 2021, informing the stock exchanges that the Board of Directors and Shareholders have approved the proposal of the Company to Buyback up to 3,80,000 (Three lakhs eighty thousand only) fully paid-up equity shares of the Company of face value of Rs.10/- (Rupees Ten only) each at a price of Rs. 1,200/- (Rupees One thousand two hundred only) per equity share. Pursuant to regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, regulation 9(i) of SEBI (Buy-Back of Securities) Regulations, 2018,and other applicable regulations if any, we would like to inform you that the Buy-back Committee at its meeting held on October 13th, 2021 has fixed Wednesday, October 27, 2021 as the Record Date for the purpose of determining the entitlement and the names of equity shareholders who are eligible to participate in the buyback offer of the Company.

 The Company conducted the Postal Ballot as set out in the notice of Postal Ballot dated September 13, 2021. Remote e-voting process concluded at 5.00 p.m. today post which the scrutinizer submitted his report on the results of the postal ballot. Based on the report of the scrutinizer, we hereby inform that the members of the Company have duly passed the special resolution approving the Buyback of upto 3,80,000 fully paid up equity shares or Rs. 10/- each at a price of Rs. 1200/- Pursuant to Regulation 44(3) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we are submitting herewith the details of the voting results and Scrutinizer''s Report in this behalf for your record.
